T.O. held out because he was in the second year of a 5 year contract, the last three with no guaranteed money.
Remember that the NFL blocked the deal the 49ers had with Baltimore and effectively gave SF no alternative but to trade him to the Eagles. Remember that T.O. signed a classic Joe Banner special (as did several Eagles in those years) under which Banner paid T.O. a $10,000,00 signing bonus and took the entire cap hit that first season, meaning Banner and Lurie could cut T.O. anytime after his first season without a dead money hit. T.O.’s agent at the time was incompetent, but the Eagles were the only game in town for SF and T.O.

T.O. wasn’t the only player Banner screwed and cost the team a legitimate chance at a championship.
